Our mission is to empower anyone with an idea to take it seriously and to take action. Our vision is a world where no idea dies just because someone didn’t know what to do next or they didn’t have the right people around them.

To make things a bit easier for You to read, We dedicated a section to clarify all definitions and explanations We use in this Agreement. Any terms We use in these Terms without defining them have the definitions given to them in Our Privacy Policy or Cookie Policy.

“Agreement”

Refers to all Our policies (these Terms, Privacy Policy, and Cookie Policy) and their respective content, and the contract entered between You and Edventures.

“Billing Period”

The period for which You have chosen to pay for Your Paid Subscription, starting on the date of purchasing the Paid Subscription. There are two different periods You can choose from; monthly or annually.

“Cookie Policy”

Refers to the content of Our Cookie Policy, and the contract entered between You and Edventures regarding its content.

“Device”

The type of hardware You use to access various applications and services, through the internet or, if available, offline. Examples of Devices are a personal computer (PC), mobile phone, or tablet.

“Downgrade”, “Downgrading”

The event of cancelling a Paid Subscription and moving to the Free Plan.

“Edventures”, “We”, “Us”, “Our”, “Ourselves”

Simply refers to Us as a company: Edvntrs Technologies AB, company registration number 559332-3438, registered in Sweden.

“Edventures Trademarks”

The Edventures name(s), symbol(s) and all other trademarks, service marks, graphics and logos used in connection with the Services and the Website, which are proprietary to Edventures and protected by applicable trademark and other intellectual property laws, whether or not registered.

“Entrepreneur(s), Entrepreneur User(s)”, You”, “Your”, “Yours”, “Yourself”

We define an Entrepreneur as an individual that wants to learn more about entrepreneurship and/or work on one or more business project(s), primarily using the Services independently. As an Entrepreneur, You are the opposing party to this Agreement and may use either the Free Plan or a Paid Subscription. Where these Terms refer to “other users” or “other Entrepreneurs”, this means other individuals who also use the Services under this Agreement.

“European Union”

Refers to the political and economic union of 27 European member states.

“EEA”

Stands for the European Economic Area and includes the 27 members of the European Union as well as the members of the European Free Trade Association (EFTA).

“Free Plan”

Our free forever subscription will be what it claims, free forever. It is aimed at Entrepreneurs that cannot, or choose not to, pay for a Subscription Plan. Instead, this plan contains, or will contain, advertisements and has limited access to all the features available to an Entrepreneur. Entrepreneurs who register an account on the Services using a Referral Partner’s Referral Code or Referral Link may start on the Free Plan (Free Tier) subject to any referral conditions in place at the time.

“Notice Period”

The period from the calendar day We announce an update to the Agreement, up until, and including, the calendar day before the update comes into effect.

“Organisation(s)”

Any legal entity that engages with Edventures for the purpose of supporting Entrepreneurs through its own programmes, personnel, or related activities. An Organisation may, subject to a separate written agreement with Edventures, elect to purchase Paid Subscriptions on behalf of Entrepreneurs and may, subject to a separate Referral Partner Memorandum of Understanding (MoU) with Edventures, participate in Edventures’ Referral Programme as a Referral Partner. Organisations do not enter into, and are not deemed parties to, these Terms, and no rights or obligations arise for any Organisation under this Agreement.

“Paid Subscription”

A Paid Subscription refers to any subscription-based plan offered by Edventures that grants an Entrepreneur enhanced or expanded access to the Services beyond the Free Tier. A Paid Subscription is purchased and maintained by the Entrepreneur on an individual basis. Edventures may offer multiple Paid Subscription plans with varying features, pricing, and levels of access, and may modify or introduce new plans from time to time.

“Payment Method”

Information about the payment option You wish to use, including other information, for example, but not limited to, a billing address, necessary to complete a Purchase in order to pay for the Services, as long as it is accepted by Our Payment Processor.

“Payment Processor”

A third party service provider that We use to be able to charge You for the Services We provide.

“Privacy Policy”

Refers to the content of Our Privacy Policy, and the contract entered between You and Edventures regarding its content.

“Purchase”, “Purchasing”

The action of ordering and paying for Our Services. We consider a Purchase having taken place on the day We have received the full payment for the Paid Subscription(s) chosen by You.

“Referral Partner”

A Referral Partner is either (a) an individual Entrepreneur who shares their personal Referral Code or Referral Link made available inside the Services, or (b) an Organisation that has entered into a separate Referral Partner Memorandum of Understanding (MoU) with Edventures and uses the Organisation’s Referral Code or Referral Link through authorised representatives.

“Services”

Refers to the digital product and experience We provide, including AI‑powered entrepreneurship coaching, learning content, tools, analytics, and related features, accessible to Entrepreneurs through the Website, web applications, mobile interfaces, and any other online channels We choose to operate.

“Service Content”

Content on the Services that may contain content, information, data or features that are, by law and without limitation, protected by copyright, patent, trademark, trade secret or other intellectual property rights and laws.

“Software”

The technology and software underlying the Services and the Website, or distributed in connection therewith, which is the property of Edventures, Our affiliates and Our partners.

“Submissions”

Any questions, comments, messages, suggestions, ideas, love letters, feedback or other information or opinions You might have about the Services, or Edventures as a company, that You Upload or otherwise send to Us, that is not regarded as User Generated Content.

“Subscription Plan(s)”

Refers to the two (2) different kinds of access to the Services You can choose from when You register a User Account: the Free Plan and any Paid Subscription plan We may offer from time to time.

“Technical Equipment”

Necessary equipment to access the Services, such as an internet connection, and a Device able to read and support internet browsers.

“Terms”

Refers to this contract and its content, entered between You and Edventures.

“Third Party Content”

Content on the Services that lead You to other content and services that are not provided by Us and which We have no responsibility for, whatsoever.

“Upload”

The action of You uploading, posting, submitting, publishing or displaying to the Services.

“User Account”

An account that You need to create and maintain to be able to access and use the Services as an Entrepreneur under these Terms.

“User Generated Content”, "UGC"

Any content that You Upload to the Services, such as questions, comments, messages, data, text, and other information.

“Website”

Our Website and Services are located at www.edventures.ai, with respective sub domains.

We believe strong consumer protections should be standard, not a privilege. Therefore, we voluntarily apply Swedish and EU consumer rights to all Entrepreneurs worldwide as a minimum level of protection, even where local rules might be weaker. If Your local laws give You even stronger rights, those take priority.

These Terms of Service are a binding agreement between You and Edventures that governs Your use of the Services. By accessing or using the Services, You agree to comply with these Terms and our Privacy Policy, which explains how We collect, use, and share Your personal data.

This Agreement applies while You have an account or otherwise use the Services. You confirm that You are old enough to enter into a binding contract under the laws of Your country of residence. If you are 16 or older but not yet of legal age, You confirm that You have Your parent’s or guardian’s permission to use the Services and accept these Terms. People under 16 are not allowed to use the Services.

These Terms are intended primarily for individual Entrepreneurs. If You enter this Agreement on behalf of an Organisation, You represent and warrant that You are authorised to enter the Agreement on behalf of that Organisation. Your use of the Services remains governed by these Terms as an individual Entrepreneur, and nothing in this Agreement makes the Organisation itself a party to these Terms.

We operate the Website and Services on an “as is” and “as available” basis. Your use of the Services is at Your own risk and responsibility, and We make no guarantees, whether direct, implied, or otherwise, regarding the availability, accuracy, or suitability for any purpose.

There will be times when the Service is down or doesn’t work as expected. Maintenance, bugs, or issues outside our control can happen. We have no responsibility or liability towards You for any disruption or downtime, and we have no obligation towards You to maintain, support, or update the Services.

Technical requirements

You are responsible for making sure You have the device, software, and internet connection needed to use the Service. Data transmissions may pass through different networks, which can impact accessibility, quality, or speed of the Services. We are not responsible for issues with Your device or network that affect Your use of the Service.

Technical disruptions

Edventures implements reasonable technical and organisational measures to protect the Services, but We cannot guarantee that the Services will be free from vulnerabilities, cyberattacks, or unauthorised access. You acknowledge that no system is completely secure and agree that Edventures is not liable for any unauthorised access, interruption, or loss resulting from events beyond Our reasonable control, including third-party attacks, power outages, data loss, network failures, or security breaches affecting systems or providers outside Our direct control.

The Services are intended for individual Entrepreneurs who want to explore, develop, or advance business ideas and projects. By creating an account, You confirm that You are using the Services in Your own name and for Your own learning, development, or entrepreneurial work. You will have access to features that provide actionable coaching and learning, including support with accountability, clarity, feedback, structure, and topic‑related information and guidance related to moving Your idea or project forward, and You can use all functionality independently without needing to be connected to any external programme or organisation.

Entrepreneurship inherently involves uncertainty and risk. You acknowledge and agree that the success of any business idea or project You work on through the Services is not guaranteed under any circumstances.

The Services are provided solely for informational, educational, guidance, and supportive purposes. Although Our ambition is to provide You with the best conditions and information We possibly can, We are not a certified business advisor or educational institution, nor should the Services be treated as such. Any information, suggestions, guidance, or feedback provided through the Services must not be relied upon as the sole basis for making business, financial, legal, or strategic decisions.

It is Your exclusive responsibility to evaluate and determine whether any information obtained through the Services is suitable for Your specific business idea or project. We make no claims, warranties, guarantees, or representations that the use of the Services will lead to commercial success, investment, profitability, improve operational performance, or any other favourable outcome.

To the fullest extent permitted by applicable law, Edventures shall have no liability, financial or otherwise, arising from any decisions, actions, or inactions taken by You based on information obtained through the Services, or from the results or outcomes of Your business idea(s) and project(s).

We know that developing a business idea often involves sharing sensitive details. Our Services are designed to support that work, and We handle Your information with care and professionalism in accordance with Our Privacy Policy and applicable law. We never aim to misuse or exploit what You choose to share.

You remain the sole owner of any business ideas, concepts, or related materials You submit or develop through the Services. Edventures does not claim any ownership rights in Your business ideas and will not use, copy, or commercialise Your ideas for Our own benefit. Our purpose is to support You in developing and executing Your idea, not to interfere with it, as We are committed to fostering entrepreneurship.

However, You acknowledge that business ideas are frequently non-unique and may overlap with concepts independently developed by other Entrepreneurs or third parties. The Services do not provide any exclusivity or restriction on others pursuing similar or competing ideas in parallel to You. Edventures does not monitor or control the ideas shared by Entrepreneurs, and We do not provide any guarantee that Your ideas, or elements thereof, are new, unique, or legally protectable.

Although the Services can help you evaluate what information might be confidential or legally protectable, You remain solely responsible for evaluating what information You consider confidential or legally protectable and for taking any steps necessary to secure intellectual property rights. Sharing confidential, proprietary, or commercially sensitive information through the Services is done at Your discretion. Except where required by mandatory law, nothing in this section or in the Services, creates any duty of confidentiality, fiduciary obligation, or other legal responsibility on the part of Edventures regarding information You submit.

To access and use the Services, You must create a User Account and sign in. Your User Account is personal. You may not transfer it, share access, or allow others to use the Services through Your User Account. When registering, You agree to provide accurate, current, and complete information, and to keep it updated.

Authorisation and confidentiality

You are fully and solely responsible for all actions taken through Your User Account. If You believe someone else has gained access, notify Us immediately. You are responsible for keeping Your login credentials secure. We may suspend or block access if We suspect unauthorised access, shared account access, misuse, or any activity that could harm the Services or other Entrepreneurs.

You delete Your User Account

You may delete Your User Account at any time through the Services. If You delete Your User Account, Your personal data will be deleted or anonymised in accordance with Our Privacy Policy. We will retain and use anonymised or de-identified data derived from Your use of the Services, including Your UGC, for as long as We deem appropriate for analytics, product development, and continued improvement of the Services. Such data will exclude unique identifiers like email addresses and be kept in a way that prevents re-identifying You, even if You re-register with the same email. We will not link it to prior records, and will document retention periods internally. You can always access the data that has been generated by You through Your Entrepreneur Account by signing in to the account. Registration data and certain other information about You is governed by Our Privacy Policy.

We delete Your User Account

We may suspend or terminate Your User Account, with or without notice, if We have reason to believe You have violated these Terms, applicable laws, or engaged in activity that threatens the integrity, security, or functioning of the Services or other Entrepreneurs. We may also delete Your Entrepreneur Account if required to comply with legal obligations or lawful requests from authorities, or to protect the rights and safety of Edventures, Our Entrepreneurs, or the public.

Referral Partners are Entrepreneurs or Organisations who share Edventures with others using a unique Referral Code or Referral Link and, in return, may become eligible for referral rewards. A natural person using the Services may become a Referral Partner by sharing their personal Referral Code or Referral Link made available inside the product interface. An Organisation may become a Referral Partner only by entering into a separate Referral Partner Memorandum of Understanding (MoU) with Edventures, after which one or more authorised representatives of that Organisation may access and share the Organisation’s Referral Code or Referral Link on its behalf.​

How Referrals Work

Referral Codes and Referral Links may only be used for new Entrepreneur registrations and cannot be applied retroactively. Each new Entrepreneur may redeem only one referral offer at sign‑up. A Referral Partner becomes eligible for a referral reward when an Entrepreneur on the Free Plan who registered through that Referral Partner’s Referral Code or Referral Link purchases a Paid Subscription either at the time of registration or within ninety (90) days of their initial sign‑up. If multiple referral links or codes are used, the most recent Referral Code or Referral Link used at the time of registration is the one credited. Referral tracking and attribution are determined solely by Edventures. In case of any dispute regarding referral attribution, eligibility, or reward calculation, Edventures’ determination is final.

Rewards and Incentives

For each eligible Referred Paying User, the Referral Partner will receive a one-time referral reward based on the referral reward rate applicable at the time the Referred Paying User becomes eligible. The referral reward is calculated on the net subscription fee actually paid by the Referred Paying User, after any discounts, promotions, or credits. Referral rewards are granted only once per referred individual, regardless of how long the Referred Paying User remains subscribed or whether they change plans. There is no maximum number of eligible referrals a Referral Partner may earn. Edventures may, at its discretion, provide additional non-monetary incentives or recognition for Referral Partners who generate significant referral activity.

Use of Referral Codes

Edventures will provide each Referral Partner with a unique Referral Code or Referral Link. The Referral Partner may share their Referral Code or Referral Link at their sole discretion, including through newsletters, events, online content, or other channels. Referral Partners are prohibited from engaging in misleading, deceptive, or spam-based promotional practices, and may not represent themselves as acting on behalf of Edventures. Referral Partners must comply with all applicable marketing, disclosure, and advertising laws when sharing Referral Codes or Referral Links, including any requirements to disclose that the Referral Partner may receive compensation for referrals. Edventures is not responsible for a Referral Partner’s failure to comply with such obligations.

Payments and Reporting

Referral rewards are calculated at the end of each calendar month based on Referred Paying Users who have met all eligibility criteria during that period. Payments are issued during the following calendar month via bank transfer through a payment provider of Edventures’ choosing. Edventures will prioritise sending payouts in the Referral Partner’s local currency where supported. If the Referral Partner’s local currency cannot be supported, payouts will be made in EUR or USD, based on the option that minimises fees and conversion costs for the Referral Partner and Edventures. A minimum payout threshold of fifty euros (€50) applies. Amounts below this threshold will accrue until the total owed equals or exceeds €50. Referral rewards are exclusive of VAT. The Referral Partner is solely responsible for determining, reporting, and paying any applicable taxes, social contributions, or other obligations arising from receiving referral rewards. Edventures will provide the Referral Partner with monthly referral reports summarising registered Free Users and qualifying Referred Paying Users. If a Referral Partner deletes their User Account while referral rewards are pending or have an outstanding balance, Edventures may process any outstanding eligible payments provided that the Partner supplies valid payout information; otherwise, such rewards are forfeited.

Programme Changes, Misuse, and Termination

Edventures may modify, suspend, or terminate the Referral Programme at any time, with or without notice. Edventures may withhold or revoke referral rewards, suspend Referral Codes, or terminate a Referral Partner’s participation if Edventures has reason to believe that the Referral Partner has violated these Terms, engaged in fraud or misuse, attempted self-referrals, created duplicate accounts, or otherwise acted in a manner inconsistent with the intended operation of the Programme. In the event of termination of the Programme, Edventures will pay out any valid accrued referral rewards that meet the minimum threshold.

Once You have a User Account, You may select one of the Subscription Plans made available in the Services. These may include a free plan and one or more paid plans tailored to different types of Entrepreneurs. We may introduce, adapt, pause, or discontinue Subscription Plans as the Services evolve

Free Plan

Our Free Forever Plan will be what it claims, free forever. It is aimed at Entrepreneurs that cannot, or choose not to, pay for a Subscription Plan. Instead, this plan contains advertisements and has limited access to all the features available to an Entrepreneur. Entrepreneurs who register an account on the Services using a referral code or referral link provided by Edventures may start on the Free Plan (Free Tier) subject to any referral conditions in place at the time.

Paid Subscriptions

You can purchase any available Paid Subscription through the Services. By doing so, You agree to pay all applicable fees and taxes associated with Your use of the Services.

Paid plans for Entrepreneurs provide extended functionality, features, and limits compared to the Free Plan. Specific details such as pricing and features are displayed in the Services and may change from time to time. If a payment becomes overdue by more than five (5) days, the Entrepreneur will automatically be downgraded to the Free Plan until payments are settled. Entrepreneurs may Downgrade at any time, without deleting Your User Account. Downgrades initiated by You take effect at the end of the active Billing Period, unless caused by non-payment.

Prices may be shown with or without VAT depending on Your billing location. Any applicable VAT or other sales tax(es) will be calculated and displayed before You complete Your purchase.

We may change pricing and features of Paid Subscriptions at any time. If We do, You will receive notice at least fourteen (14) days before the changes take effect. You have the right to cancel Your Paid Subscription during the Notice Period, without causing any additional costs, fees or other requirements to You. If You continue Your subscription after the notice period, You accept the updated terms.

You may modify or cancel Your Paid Subscription at any time through the Services. Cancellation takes effect at the end of the active Billing Period. If You delete Your User Account, cancellation still takes effect at the end of the active Billing Period.

Overdue payment

Please note that We have the legal right to charge Entrepreneur Users:

(a) interest on overdue payments (Sw: dröjsmålsränta), from the first day Your payment is overdue, and ongoing until the due amount is settled, and

(b) reminder fees (Sw: påminnelseavgift), for every reminder We send You regarding Your overdue amount.

Right of withdrawal

If You are an Entrepreneur User and live within the EU/EEA, You have the right to withdraw Your Purchase within fourteen (14) days from the day of Your Purchase, simply by emailing us at hello@edventures.ai. You also have the option to withdraw Your Purchase through the Swedish Consumer Agency (Sw: Konsumentverket) by filling out and sending Us the withdrawal form.

By starting a Paid Subscription, You explicitly request that the Services begin during the withdrawal period. You acknowledge that the Services are delivered to You immediately and that this delivery involves direct usage of digital resources and processing. Because of this, You agree that Your right of withdrawal is lost once access to the Paid Subscription has been granted.

If You exercise a valid withdrawal before We have delivered the Paid Subscription in full, We may charge You for the portion of the Services already provided up to the time You notify Us of Your decision to withdraw. We are not required to reimburse any costs or fees for the remainder of the active Billing Period after withdrawal takes effect.

All financial transactions related to the Services are facilitated through one or more third party payment processors of Our choosing. Such payment processors operate under their own terms of service, privacy policies, and payment conditions, and You are responsible for reviewing and understanding those terms. Edventures is not responsible for the actions, inactions, or performance of any third party payment processor, including but not limited to, downtime, failed transactions, technical errors, or security incidents.

Edventures does not store complete payment card data on its own systems. All sensitive payment details are handled and processed securely by the Payment Processor(s).

To complete any purchase within the Services, including Paid Subscriptions, You must provide a valid Payment Method. By providing a Payment Method, You represent and warrant that You are authorised to use it, and that the information provided is accurate, complete, and current. You agree to keep Your Payment Method up to date at all times. Should any payment fail, be declined, or require verification, You authorise Edventures or the payment processor to reattempt the charge or request updated payment details.

Taxes may be applied based on the billing information You provide. Edventures may modify accepted Payment Methods at any time.

Subscription instalments

Any of the Paid Subscriptions shall be paid in advance, and in either monthly or annual instalments and processed by Our payment processor of choice. The renewal of Your Paid Subscription will continue to be billed to the Payment Method You have provided to Us. You must actively cancel Your Paid Subscription before the active Billing Period is renewed, in order to avoid billing of the next subscription fee to the Payment Method.

Refunds

Entrepreneurs can, at any time, change or cancel the Paid Subscription through the Services. If You cancel Your Paid Subscription, refunds cannot be claimed for any remainder of the active Billing Period. You understand and agree that You will receive no refund or reimbursement of any kind for any User Generated Content or other data associated with Your use of the Service, or for anything else, in the event that Edventures suspends or terminates Your access to, and use of, the Services due to Your violation of these Terms, law or otherwise.

Through your use of the Services, you may upload, share, input, or otherwise create User Generated Content. You are solely and fully responsible, legally and otherwise, for all User Generated Content associated with Your account. You represent and warrant that you own, or have obtained all necessary rights, licenses, and permissions to use and upload such UGC, including any copyrights, trademarks, and rights of publicity.

By uploading User Generated Content, You grant Edventures a non-exclusive, worldwide, royalty-free, fully paid-up, transferable, and sub-licensable license to process, store, modify, reproduce, display, and create derivative works from such content solely for the purpose of operating, maintaining, improving, and developing the Services. This license does not permit Edventures to commercialise, sell, or otherwise exploit Your business idea(s) as an independent commercial venture, nor does it grant Edventures any ownership or proprietary interest in such ideas. All processing and use of User Generated Content remains strictly limited to enabling and improving the functionality, performance, and personalisation of the Services.

You may not upload, submit, or use User Generated Content that violates these Terms or any applicable law. If any of Your User Generated Content is alleged or found to infringe a third party’s rights, you must immediately remove the affected material or promptly inform Us so that We can remove the material for You. You understand and acknowledge that uploading infringing or unlawful content may expose You to legal liability.

You retain ownership of your User Generated Content at all times. You can edit or delete your User Generated Content from Your account without requiring Our approval. You acknowledge and agree that We may retain and continue to process copies of User Generated Content for operational, technical, legal, business, and compliance purposes for as long as We determine appropriate, unless otherwise required by mandatory law.

We reserve the right, at our sole discretion, to remove or restrict any User Generated Content we believe violates these Terms, applicable law, or the rights of others, or that we consider inappropriate, harmful, unsafe, unethical, unfair, unethical, deceptive, harmful, or may pose a risk to Edventures, other users, or the public, or otherwise inconsistent with the intended purpose of the Services.

You acknowledge and agree that we may preserve and disclose UGC where we in good faith consider it reasonably necessary to (a) comply with legal processes or applicable law; (b) enforce these Terms; (c) respond to claims that UGC violates third‑party rights; or (d) protect the rights, property, or safety of Edventures, our users, or the public. Such disclosure will only occur where the UGC can be linked to you or your account.

You may use the Services only for Your own internal purposes, whether personal or in connection with Your own business activities, as long as You follow these Terms and all laws that apply to You. You are responsible for how the Services are used through Your account. If applicable laws prohibit You from using the Services, You are not authorised to use them, and We have no responsibility for any use of the Services by You that breaks the law.

The Services are intended solely for Your development as an Entrepreneur, including exploring, developing, and running business ideas and projects on Your own or together with others. “Personal use” means Your individual use of the Services for learning, exploration, or developing entrepreneurial ideas and projects for Yourself or in collaboration with others, whether or not You are already running a registered business. “Professional use” means Your use of the Services in connection with operating or preparing to operate a business or venture where You have a meaningful decision‑making role, such as founder, owner, manager, or similar leadership capacity. This includes situations where You are responsible, or share responsibility, for shaping or executing the direction, strategy, or operations of the business, not merely working in a non‑decision‑making role.

Personal or professional use under these Terms does not include offering the Services, or any part of the Services, to third parties; integrating the Services into any product, programme, course, or commercial offering; embedding or relying on the Services as any significant or recurring component of services You provide to others; or using the Services on behalf of, or primarily for the benefit of, any other individual, business, organisation, or client. You may not provide, bundle, or resell the Services, or hold it out as part of any services You offer to third parties (including but not limited to consulting, coaching, training, or programme delivery), unless You have a separate written agreement with Edventures that explicitly allows this. Promoting Edventures and/or the Services by sharing a Referral Code or Referral Link in accordance with the Referral Programme section of these Terms is not considered providing, bundling, or reselling the Services.

Restrictions of usage

Your use of the Services must be limited to the intended purposes described in these Terms. You agree not to, and will not permit any third party to:

• use the Services for any illegal, harmful, fraudulent, or unauthorised purpose
• violate any applicable laws or third-party rights, including intellectual property, privacy, and publicity rights
• engage in harassment, hate speech, discrimination, sexual content involving minors, or other abusive or threatening behavior
• upload, publish, or share false, misleading, harmful, or defamatory information
• impersonate others or misrepresent your identity or affiliation
• disrupt, interfere with, damage, disable, or compromise the integrity, security, or performance of the Services
• upload or distribute malware, viruses, automated bots, or any harmful code
• scrape, mine, crawl, index, or harvest data or content from the Services, except where expressly permitted in writing
• reverse engineer, decompile, decipher, or attempt to access or recreate the source code, underlying systems, algorithms, or components of the Services
• copy, reproduce, modify, translate, create derivative works from, distribute, publicly perform, or commercially exploit the Services, Service Content, or Software, except for your own permitted use of your User Generated Content
• rent, lease, sublicense, assign, sell, or otherwise transfer access or rights to the Services or Software
• use the Services, Service Content, or output generated by the Services to train, fine-tune, develop, benchmark, or evaluate any artificial intelligence system or model, whether commercial or non-commercial, or to assist a competitor or competing service in any manner
• share your account credentials or allow unauthorised access to the Services
• bypass, disable, or circumvent access restrictions, monitoring, rate limits, or suspension mechanisms (including through VPNs or proxy routing to evade blocks)
• use the Services to provide services or benefits to third parties, including consulting or outsourcing, unless explicitly agreed with us in writing
• upload or use content that is illegal, harmful, infringing, or otherwise inconsistent with the intended purpose of the Services
• assist, enable, or encourage any other person to engage in any of the prohibited activities above

We reserve the right to suspend or terminate Your access to the Services for any violations.

Rights that We grant You

Provided You comply with these Terms, We grant You a limited, non-exclusive, non-transferable license to access and use the Services as intended under these Terms. This license does not allow You to transfer, sublicense, or share any rights under these Terms with others, and this license ends when Your access to the Services ends.

Rights that You grant Us

You own the rights to the User Generated Content you Upload. To operate, maintain, personalise, secure, and improve the Services, as You Upload any User Generated Content, You grant Us a worldwide, royalty-free, transferable, sublicensable license to host, store, process, modify, display, reproduce, and create derivative works from Your User Generated Content. This includes generating insights, training data, and models that help deliver coaching, recommendations, and functionality tailored to you.

As mentioned under “Special note regarding Your business idea”, We do not consider business ideas, strategies, or similar commercial concepts to be personal data under privacy or intellectual property laws. Even so, We treat all such information as confidential by default. We will not publicly disclose or use any of Your User Generated Content outside the Services in a way that identifies You or Your business without Your explicit permission in writing.

Submissions

Any feedback, suggestions, or ideas You provide that are not considered User Generated Content may be used by us for any purpose without compensation to You. You understand that these Submissions are voluntary and non-confidential. If We ever want to quote or showcase something You shared in a way that identifies You, we will ask first.

Ownership and Reservation of Rights

You acknowledge and agree that all Service Content, Software, and materials provided through the Services are, by law and without limitation, protected by copyright, patent, trademark, trade secret, database rights, and other intellectual property rights and laws worldwide. Edventures and its licensors own or control all right, title, and interest in and to the Services, Service Content, Software, and all compilations and databases, and all related intellectual property rights, including but not limited to all copyrights, patents, trademarks, trade secrets, database rights, public performance, display, moral rights, and rights of publicity. Except for the limited license expressly granted to You under these Terms in the "Usage of the Services" section, no other right, title, or interest in or to the Services, Service Content, or Software is transferred to You, and all rights not expressly granted are expressly reserved by Edventures and its licensors.

Prohibited Uses

• use the Services, Service Content, or Software for any illegal, unlawful, or unauthorised purpose;
• copy, reproduce, modify, adapt, translate, create derivative works from, distribute, transmit, display, or otherwise exploit the Services, Service Content, or Software, in whole or in part;
• reverse engineer, decompile, disassemble, or attempt to discover any source code or underlying ideas, algorithms, or technology of the Services or Software;
• rent, lease, loan, sell, resell, sublicense, distribute, or otherwise transfer any rights to the Services, Service Content, or Software;
• scrape, frame, mirror, or aggregate the Services or Service Content for any purpose;
• remove, obscure, or alter any copyright, trademark, or other proprietary rights notices; or
• use the Services or Service Content for any commercial purpose except as expressly permitted by these Terms.

Your use of the Services does not grant you any ownership rights, license rights, or intellectual property rights in the Service Content, Software, or any other materials, whether during the term of these Terms or thereafter.

Trademarks

Nothing contained in these Terms or the Services should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Edventures Trademarks displayed on or through the Services, without Our prior written approval. All goodwill generated from the use of Edventures Trademarks will inure to Our exclusive benefit.

Some parts of the Service may include ads or links to third-party sites and services. You might also see third-party links inside replies or messages you receive through the platform. By using the Service, you agree that Edventures and our partners may show this type of advertising where it makes sense in the product.

We are not responsible for any third-party content, sites, or services You choose to visit, use, or act on through links in the Services, ads, or user messages. Any interactions with third parties are Your responsibility alone. Any issues, losses, or disputes that come from those interactions are between You and the third party, not with Us.

Disclaimer of liability

We provide the Services "as is" without warranties of any kind. We make no claims, representations or guarantees about accuracy, reliability, availability, or successful business outcomes, and You are solely responsible for your decisions and actions based on any information received through the Services. Edventures is not liable for any personal injury, financial loss, lost revenue, or other consequences resulting from your use of the Services, even if you followed guidance or information provided through the Services.

Force majeure

We are not responsible for any reasonably unforeseeable circumstances beyond Our control, for example, but not limited to, strikes, work stoppages, accidents, interruptions to public and/or private infrastructure such as power grid or telecommunications infrastructure, acts of war or terrorism, civil or military disturbances, nuclear or natural catastrophes, and any other circumstance(s) beyond Our control.

Limitation of liability

Our liability to you is limited to direct damages only and, to the extent permitted by law, will not exceed one hundred EUR (€100) or the total amount you have paid for the Services in the 12 months prior to the claim, whichever is greater. We are not liable to You for any indirect and/or consequential damages, economic losses or other damages of any kind, including but not limited to, loss of profit, loss of income, reduced sales, discontinuation of business, or loss of goodwill.

Disputes between Entrepreneurs

Any interactions You have with other users on or through the Services are solely between You and those users. We are not responsible for disputes between users or with any third parties You meet through the platform. We are not liable for any disputes, claims, or damages arising from your interactions with other users or third parties found through the Services. Such disputes must be resolved directly between the parties involved, and you release Us from any claims or liabilities arising from these disputes.

You are liable towards Us for any damage, loss or otherwise harm caused by You and suffered by Us due to Your breach of these Terms, including but not limited to, misuse or negligent use of the Services.

In addition, if any third party makes a claim against us due to your use of the Services, your User Generated Content, or violation of these Terms or law, You agree to indemnify and compensate Us for reasonable costs (including legal fees), liabilities, damages, and expenses We incur as a result. This includes claims that Your User Generated Content infringes third-party intellectual property rights.

We’re constantly improving Edventures, which means we’ll be updating these Terms or the Services from time to time.

Changes to the Terms

We may update these Terms from time to time. If we make significant changes, we’ll notify you through the app, by email, or in another reasonable way at least fourteen (14) days before they take effect. Your continued use of the Services after the changes take effect means you accept the updated Terms. You can always check the latest version of the Terms on this page (https://edventures.ai/terms), with the last date it was updated shown at the top.

If any provision of these Terms is found invalid or unenforceable, that provision alone will be ineffective. The rest of the Terms will remain in full force.

Changes to the Services

We continuously improve the Services and may update, modify, suspend, or discontinue features at any time. For significant changes affecting your subscription or core functionality, we'll notify you through appropriate channels.

These Terms shall be governed by and interpreted in accordance with Swedish law. You agree to initially attempt to solve any and all dispute(s) arising out of or in connection with the Agreement or the Services, directly with Us.

Dispute resolution

If a dispute arising out of or in connection with these Terms or the Services cannot be resolved directly between You and Edventures, the default method of resolution is arbitration administered by the SCC Arbitration Institute at the Stockholm Chamber of Commerce. The seat of arbitration shall be Stockholm, and the language of the proceedings shall be English, unless otherwise required by mandatory law.

This arbitration clause applies in full where You are acting in a professional or commercial capacity, including as a sole proprietor or other self-employed individual, regardless of whether this information has been expressly provided to Edventures. By using the Services for business-related purposes, You acknowledge and accept that disputes will be resolved through arbitration as described above.

Where You are considered a consumer under applicable law, or where mandatory law prohibits the use of arbitration for the relevant dispute, this arbitration clause does not apply. In such cases, any unresolved dispute shall instead be settled by a Swedish court of general jurisdiction, with Stockholm District Court as the first instance, unless mandatory law requires otherwise.

Nothing in this section prevents either party from seeking interim or injunctive relief in a competent court when necessary to protect its rights pending final resolution.
